- CRM Implementation & Sales Funnels: Custom CRM setup, configuration, automation, lead nurturing systems, and sales funnel optimization
- Marketplace Management: E-commerce management services for platforms including ETSY, eBay, and Amazon, encompassing listing optimization, inventory management, performance analytics, and advertising
- Consulting Services: Strategic business consulting related to automation and digital commerce
Specific service details, deliverables, timelines, and pricing will be outlined in individual service agreements or proposals.
3. User Responsibilities
As a client or user of our services, you agree to:
- Provide accurate, complete, and current information as required for service delivery
- Maintain the confidentiality of any account credentials or access information
- Respond to our requests for information or feedback in a timely manner
- Comply with all applicable laws and regulations in connection with your use of our services
- Not use our services for any unlawful, fraudulent, or malicious purposes

4. Payment Terms
Pricing and Fees

Payment Schedule
- One-Time Projects: Payment terms will be specified in your agreement (e.g., 50% upfront, 50% upon completion)
- Monthly Services: Billed monthly in advance on the date you signed up or as specified in your agreement
- Invoices: Payment is due within the timeframe specified on the invoice (typically 7-14 days)
Late Payments
Late payments may result in:
- Suspension of services until payment is received
- Late fees of 1.5% per month (or the maximum allowed by law) on overdue balances
- Termination of services for accounts more than 30 days overdue
Taxes
All fees are exclusive of applicable taxes, duties, or similar governmental assessments. You are responsible for paying all such taxes associated with your purchase.
5. Service Agreements and Scope
Each engagement will be governed by a specific service agreement or proposal that outlines:
- Detailed scope of work and deliverables
- Project timeline and milestones
- Pricing and payment terms
- Responsibilities of both parties
- Any specific terms unique to your project
In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.
6. Intellectual Property Rights
Our Property
All content, materials, methodologies, processes, and intellectual property developed by ROYAL GROUPS prior to or independent of your engagement remain our exclusive property. This includes but is not limited to:
- Our website content, branding, and marketing materials
- Proprietary tools, templates, and frameworks
- General knowledge and expertise
Client Property
You retain all rights to your pre-existing intellectual property, including your business data, brand assets, and proprietary information.
Work Product
Upon full payment, you will own the specific deliverables created exclusively for you as outlined in your service agreement. However, we retain the right to:
- Use general knowledge and skills gained during the engagement
- Showcase your project in our portfolio (with your permission)
- Reuse general methodologies and non-proprietary processes
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes:
- Business strategies, financial information, and trade secrets
- Customer data and proprietary processes
- Any information marked as confidential
This obligation survives the termination of our service relationship.
8. Warranties and Disclaimers
Our Warranties
We warrant that:
- Services will be performed in a professional and workmanlike manner
- We have the necessary skills and expertise to deliver the agreed-upon services
- We will comply with all applicable laws in providing our services
Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS:
- OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS, REVENUE INCREASES, OR ROI
- WE ARE NOT RESPONSIBLE FOR THIRD-PARTY PLATFORM CHANGES, OUTAGES, OR POLICIES (e.g., Amazon, ETSY, eBay)
- WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- ROYAL GROUPS' TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION
- WE ARE NOT LIABLE FOR DAMAGES CAUSED BY THIRD-PARTY PLATFORMS, SERVICES, OR YOUR OWN ACTIONS
10. Indemnification
You agree to indemnify, defend, and hold harmless ROYAL GROUPS, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights

11. Term and Termination

Termination by Us
We may terminate or suspend services immediately if:
- You breach these Terms or your service agreement
- You fail to make required payments
- You engage in fraudulent or illegal activities
- Continuing the relationship would cause legal or reputational harm
Effect of Termination
Upon termination:
- You must pay all outstanding fees for services rendered
- We will provide any completed deliverables as outlined in your agreement
- Confidentiality obligations continue to apply

12. Third-Party Services and Platforms
Our services may involve integration with or use of third-party platforms (e.g., CRM systems, marketplaces, analytics tools). You acknowledge that:
- We are not responsible for the availability, functionality, or policies of third-party services
- You are responsible for complying with third-party terms of service
- Changes to third-party platforms may affect our ability to deliver services
- Additional fees may apply for third-party software, licenses, or subscriptions
13. Modifications to Services and Terms
We reserve the right to:
- Modify, suspend, or discontinue any aspect of our services at any time
- Update these Terms by posting revised Terms on our website
- Notify you of material changes via email or through our website
Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
14. Dispute Resolution

Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in New York, NY.
Class Action Waiver

16. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, or third-party service outages.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with any service agreements, proposals, and our Privacy Policy and Refund Policy, constitute the entire agreement between you and ROYAL GROUPS regarding the use of our services.
19. Assignment
You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms to any affiliate or successor without restriction.
20. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
